Terms of Service

Welcome to Quantlys. These Terms of Service ("Terms") govern your access to and use of the Quantlys website at www.quantlys.ai, the Quantlys Vertical AI Platform, the Quantum Trading Platform, our APIs, and related services (collectively, the "Service"), all operated by Agility Business Services, Inc. ("Agility," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age and legally able to enter into binding contracts to use the Service. By using Quantlys, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at admin@agilityserv.com if you suspect unauthorized access.

3. Description of the Service

Agility operates a family of products under the Quantlys name. The Quantlys Vertical AI Platform lets you design and build software with a council of AI models and a crew of agents, running locally on your own hardware. The Quantum Trading Platform is a quantitative trading-signal platform that generates signals, risk analytics, and portfolio intelligence. Specific sections below apply to specific products, as noted.

4. Plans, Credits & Payment

Some features are free; others require a paid plan or the use of prepaid credits that power premium Conclave runs. Paid plans are billed in advance on a recurring basis (for example, monthly) and renew automatically until cancelled. Credits are consumed as you use the Service and have no cash value except as required by law. Prices, plan features, and credit grants may change prospectively; we will give notice of material changes.

Refunds are governed by our Refund Policy, which is incorporated into these Terms. You are responsible for all applicable taxes. If a payment fails or is reversed, we may suspend access until the balance is resolved.

5. The Quantlys AI Platform

The Quantlys AI Platform is local-first: your source code, API keys, and the content of what you build stay on your own machine. When you supply your own model-provider keys, your requests are sent from your machine directly to those providers under their terms; you are responsible for your use of third-party models and for the applications you build, sign, and distribute under your own developer accounts. You retain ownership of the software you create with the Service.

6. The Quantum Trading Platform

The Quantum Trading Platform may include features such as the Quantum Pipeline, QET Portfolio Intelligence, signal alerts, and optional brokerage integrations. It is offered on a paper-first basis; any live-trading functionality is gated and requires your explicit authorization. Sections 7 through 9 apply specifically to this product.

7. No Investment Advice

Quantlys is an informational and analytical tool. Nothing on the Service constitutes financial, investment, tax, or legal advice. Trading signals, analytics, and any other outputs generated by the platform are for informational purposes only and should not be relied upon as a basis for making investment decisions. You are solely responsible for evaluating the merits and risks of any trade or investment decision. Past performance of any signal or strategy does not guarantee future results.

8. Risk Disclosure

Trading in securities involves substantial risk of loss and is not suitable for every investor. You acknowledge that: (a) the value of investments can go down as well as up; (b) you may lose some or all of your invested capital; (c) algorithmic signals are based on historical and real-time data that may not predict future performance; and (d) market conditions, liquidity, and volatility can cause actual results to differ materially from projected outcomes. You should only invest funds you can afford to lose.

9. Brokerage Integrations

If you connect a third-party brokerage account (e.g., Alpaca) to the Service, you authorize Quantlys to transmit order instructions and receive execution data on your behalf. You acknowledge that: (a) Quantlys is not a broker-dealer and does not hold your funds or securities; (b) all trades are executed by the connected brokerage in accordance with their terms; (c) you are solely responsible for reviewing and confirming all orders before and after execution; and (d) Quantlys is not liable for any losses resulting from brokerage execution, delays, or failures.

10. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to reverse-engineer, decompile, or extract source code from the Service or its algorithms, except to the extent this restriction is prohibited by law.
• Interfere with or disrupt the integrity, security, or performance of the Service.
• Use automated scripts, bots, or scraping tools to access the Service beyond the APIs we provide.
• Redistribute, resell, or sublicense any data, signals, or content from the Service without our written consent.
• Misrepresent your identity or affiliation when using the Service.

11. Intellectual Property

All content, software, algorithms, models, designs, trademarks, and other intellectual property associated with the Service are owned by Agility or its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms. This does not affect your ownership of software you create with the Quantlys AI Platform (Section 5). You may not copy, modify, distribute, or create derivative works based on the Service itself without our prior written consent.

12. Your Content

You retain ownership of any data, configurations, or content you submit to the Service ("User Content"). By submitting User Content, you grant Agility a non-exclusive, worldwide, royalty-free license to use, process, and store it solely for the purpose of providing and improving the Service. We will not share your User Content with third parties except as described in our Privacy Policy.

13. Service Availability & Modifications

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any losses or damages arising from Service unavailability, modifications, or discontinuation.

14. Limitation of Liability

To the maximum extent permitted by law, Agility and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or trading losses, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Agility in the twelve (12) months preceding the claim.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that signals, analytics, or generated software will be accurate, profitable, timely, or error-free.

16. Indemnification

You agree to indemnify, defend, and hold harmless Agility and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your trading or investment decisions; (d) applications you build, sign, or distribute; or (e) your violation of any rights of a third party.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Disclaimer, and Indemnification) will remain in effect.

18. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations. Nothing in this section limits any mandatory consumer-protection rights you may have in your country of residence.

19. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top. Material changes will be communicated via a notice on the website or by email. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
